Welcome to steadywaveion AG ("we", "our", or "us"). These Terms of Service ("Terms") govern your use of our website steadywaveion.world and our farm supplier sourcing services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any changes.

Description of Services

steadywaveion provides farm supplier sourcing services for restaurants and food service businesses in Austria. Our services include supplier discovery, quality verification, partnership facilitation, seasonal planning, ongoing support, and growth consulting. We act as an intermediary to connect restaurants with verified farm suppliers and do not directly supply food products. All specific service details, deliverables, and timelines will be outlined in separate service agreements.

User Obligations

By using our services, you agree to:

• Provide accurate, current, and complete information when requested
• Maintain the confidentiality of any account credentials
• Use our services only for lawful purposes and in accordance with these Terms
• Not interfere with or disrupt our services or servers
• Not attempt to gain unauthorised access to our systems
• Respect the intellectual property rights of steadywaveion and third parties
• Comply with all applicable laws and regulations in your use of our services
• Notify us immediately of any unauthorised use of your account

Service Agreements and Payment

Specific services will be provided under separate written agreements that detail scope, deliverables, timelines, and fees. Payment terms will be specified in individual service agreements. Unless otherwise stated, fees are due within 30 days of invoice date. We reserve the right to suspend services for overdue accounts. All fees are exclusive of applicable taxes, which are your responsibility. Refund policies, if applicable, will be outlined in specific service agreements.

Intellectual Property

The steadywaveion website, including all content, features, and functionality, is owned by steadywaveion AG and is protected by Austrian and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use our content without our express written permission. Our trademarks, service marks, and logos may not be used without our prior written consent. Any feedback or suggestions you provide regarding our services may be used by us without restriction or compensation.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy. To the maximum extent permitted by law, steadywaveion AG shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses, resulting from your use of our services. Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific services giving rise to the claim in the 12 months preceding the claim. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure. While we strive to verify supplier quality, we cannot guarantee the performance or reliability of third-party suppliers. You use our services at your own risk.

Indemnification

You agree to indemnify, defend, and hold harmless steadywaveion AG, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to your use of our services, your violation of these Terms, or your violation of any rights of another party.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Austria, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Austria, and you hereby consent to personal jurisdiction and venue therein. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. You may terminate your use of our services at any time by discontinuing use and notifying us in writing. Upon termination, your right to use our services ceases immediately, but provisions that by their nature should survive termination shall remain in effect. Termination does not relieve you of any obligations incurred prior to termination.

Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or technical failures. In such events, we will make reasonable efforts to resume performance as soon as practicable.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the intent of the original provision.

Entire Agreement

These Terms, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and steadywaveion AG regarding the use of our services and supersede all prior agreements and understandings. No modification of these Terms shall be effective unless in writing and signed by both parties.
